New Business Formation
Entity formation provides a degree of separation between the business owner and the business, which is important in the event of an IRS examination as well as future creditor protection. Formation of the company generally includes filing of the Articles of Organization or Incorporation with the Arizona Corporation Commission, application of the business taxpayer identification number, and creation of the company’s operating agreement or bylaws. The operating agreement or bylaws provide the rules by which the company is governed. They also appoint the people response for making the necessary decisions on behalf of the company, and provide for the ownership rules including allocation of the profits and losses among the owners.
